Fluence Energy, Inc. is seeking an Assistant General Counsel with 6-8 years of experience to advise on securities offerings, SEC reporting, and corporate finance matters.

You will work closely with senior management, the board, lenders, and cross-functional teams to lead filings, disclosures, and financing initiatives. The role emphasizes strong drafting and negotiation skills, with exposure to capital markets and governance.

Qualifications

• J.D. from an accredited law school and active bar membership
• 6-8 years of relevant experience, with at least 3 years at a nationally recognized law firm and ideally 1-2 years in-house
• Substantial experience with SEC reporting and disclosure for public companies
• Hands-on capital markets experience (debt and/or equity offerings)
• Experience negotiating and working with credit agreements and related finance documents
• Excellent drafting, analytical, and communication skills
• Sound business judgment and the ability to manage multiple priorities in a fast-paced environment
• Familiarity with Workiva and EDGAR filings is a plus

Responsibilities

• Serve as legal lead on Form 10-K, 10-Q, 8-K, and the annual proxy statement and coordinate AGM planning
• Partner with Investor Relations on communications with investors and disclosures
• Collaborate with Finance, Accounting, IR, and Internal Audit on controls and disclosure processes
• Oversee Section 16 reporting obligations for executives and directors
• Administer insider trading policy and blackout periods
• Advise on securities laws, Nasdaq rules, Regulation FD, and executive compensation disclosures
• Monitor SEC and Nasdaq rules and guidance, including cybersecurity and climate disclosures
• Negotiate and manage revolving credit facilities, term loans, and debt financing with lenders
• Lead or support debt and equity offerings and manage outside counsel and advisors
• Support M&A and corporate transactions and develop internal processes and templates
