Job summary

Fluence Energy, LLC is seeking an Assistant General Counsel with 6-8 years of experience to join our in-house legal team in Arlington, VA. The role focuses on securities offerings, SEC reporting and disclosure, and corporate financing, including credit facilities.

You will work closely with senior management, the board, and cross-functional partners. Ideal candidates bring big law training with in-house experience, strong technical legal skills, and business judgment.

Qualifications

• J.D. from an accredited law school and active bar membership in good standing
• 6-8 years of relevant experience, with at least 3 years at a nationally recognized law firm and ideally 1-2 years inhouse
• Substantial experience with SEC reporting and disclosure for public companies
• Hands-on capital markets experience (debt and/or equity offerings)
• Experience negotiating and working with credit agreements and related finance documents
• Excellent drafting, analytical, and communication skills
• Sound business judgment and the ability to manage multiple priorities in a fast-paced environment

Responsibilities

• Lead SEC reporting on Forms 10-K, 10-Q, 8-K and annual proxy; coordinate AGM planning with Corporate Secretary and cross-functional teams
• Partner with Investor Relations on communications with investors, earnings releases, and disclosures
• Oversee disclosure controls, internal controls, and the disclosure committee process
• Manage Section 16 reporting obligations for executives and directors
• Advise on securities law compliance, Nasdaq listing requirements, Regulation FD, and related disclosures
• Monitor SEC and Nasdaq rule changes, including cybersecurity, climate, and compensation disclosures
• Negotiate and administer credit facilities and other debt financings; coordinate with Treasury and lenders
• Lead or support debt and equity offerings; coordinate with outside counsel and underwriters
• Assist in M&A, entity management, and corporate governance; develop and improve legal processes and templates
