Bristol Myers Squibb seeks a Senior Corporate Counsel, Business Development Transactions Law to provide senior-level transactional counsel to the BD organization. The role leads complex matters end-to-end, advising senior leaders and partnering with cross‑functional teams across licensing, collaborations, M&A, divestitures, and equity investments.

Qualifications

• J.D. degree and state bar admission.
• 10+ years of legal experience in biopharmaceutical/life sciences.
• Lead counsel on high-value licensing, collaboration, and M&A transactions.
• Directing due diligence across IP, litigation, antitrust, regulatory, and tax.

Responsibilities

• Lead structuring, drafting, and negotiation of BD and corporate development transactions (licensing, collaborations, M&A, divestitures, equity investments).
• Define diligence scope and risk assessments for deal teams and senior stakeholders.
• Coordinate antitrust and regulatory strategy for transactions through clearance.
• Oversee handoff to Alliance Management and post-execution governance.
• Manage external counsel relationships, set workstreams, review deliverables, ensure cost-effective support.
• Mentor other BD attorneys and contract professionals without formal people management.
• Monitor legal developments affecting transactions and advise on templates and standards.
• Contribute to process improvements, templates, and knowledge management in BD contracting.
