The successful candidate will handle buy- and sell-side M&A, structuring complex transactions and guiding clients through the transaction lifecycle with strong drafting and negotiation skills.

Qualifikationen

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in North Carolina, in good standing.
• 6+ years of substantive corporate transactional experience in a sophisticated law firm.
• Strong background advising on mergers and acquisitions and complex business transactions.

Aufgaben

• Advise clients on buy-side and sell-side mergers and acquisitions transactions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements, schedules, and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from LOI through post-closing matters.
• Coordinate with internal and external stakeholders to facilitate outcomes.
• Collaborate with tax, finance, employment, IP, and regulatory practices.
