Job summary

KingRecruitingServices is helping a Southeastern law firm fills a Senior Corporate Associate Attorney role in Charlotte or Raleigh, NC with hybrid work options. The attorney will handle sophisticated deal work, advising on buy-side and sell-side transactions and leading transactions through closing.

Ideal candidates will have 6+ years of corporate transactional experience, NC bar admission, and a track record managing complex deals and drafting agreements across multidisciplinary teams.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in North Carolina, in good standing.

Responsibilities

• Advise clients on buy-side and sell-side mergers and acquisitions transactions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements, disclosure schedules, ancillary documents, and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from letter of intent through post-closing matters.
• Coordinate with internal and external stakeholders to facilitate successful transaction outcomes.
• Collaborate with attorneys across tax, finance, employment, IP, and regulatory practices.
