Job summary

Workforce Recruiter is seeking a Senior Corporate Associate Attorney for its Real Estate & Commercial Development Practice Group in Charlotte, NC or Raleigh, NC. The role is HYBRID and involves sophisticated deal work with public/private companies, PE sponsors, and entrepreneurs.

The candidate will handle transactions across the lifecycle, with emphasis on buy-side and sell-side M&A, due diligence, and contract negotiation.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in North Carolina, in good standing.
• 6+ years of substantive corporate transactional experience in a sophisticated law firm setting.
• Strong drafting and negotiation capabilities for acquisition documents.

Responsibilities

• Advise clients on buy-side and sell-side mergers and acquisitions transactions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements, disclosure schedules, ancillary documents, and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from letter of intent through post-closing matters.
• Coordinate with internal and external stakeholders to enable successful outcomes.
• Collaborate with attorneys across tax, finance, employment, IP, and regulatory practices.
