Senior Corporate Associate Attorney in the Real Estate & Commercial Development Practice Group is sought in Charlotte, NC or Raleigh, NC. This hybrid role offers significant client contact and mentorship within a collaborative team.

The candidate will advise public and private companies, private equity sponsors, investors, and entrepreneurs on a broad range of business transactions, mergers, and strategic corporate matters, with multi-office collaboration and growth opportunities.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in North Carolina, in good standing.
• 6+ years of substantive corporate transactional experience in a sophisticated law firm setting.
• Strong background advising on mergers and acquisitions and complex business transactions.
• Familiarity with both buy-side and sell-side transaction structures.
• Ability to manage transactions from initial structuring through closing.
• Skilled at conducting and overseeing due diligence processes.
• Strong drafting and negotiation capabilities involving acquisition agreements and related documents.
• Sound business judgment and practical problem-solving abilities.
• Excellent communication, writing, and client relationship management skills.
• Ability to manage multiple sophisticated matters with exceptional attention to detail.
• Collaborative mindset with an interest in mentoring junior attorneys and contributing to team success.
• Prior experience in a sophisticated law firm real estate practice preferred.

Responsibilities

• Advise clients on buy-side and sell-side mergers and acquisitions transactions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements, disclosure schedules, ancillary documents, and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from letter of intent through post-closing matters.
• Coordinate with internal and external stakeholders to facilitate successful transaction outcomes.
• Collaborate with attorneys across tax, finance, employment, intellectual property, and regulatory practices.
• Build and maintain strong client relationships while delivering responsive and practical legal guidance.
