Confident Search Consultants is seeking a Senior Corporate Associate Attorney to join the Real Estate & Commercial Development Practice Group in Charlotte or Raleigh. The role is hybrid, offering sophisticated deal work and strong mentorship within a collaborative team.

Qualifications

• JD from a top-tier law school with excellent academic record.
• Active North Carolina Bar admission in good standing.
• 6+ years of substantive corporate transactional experience.
• Experience advising on mergers & acquisitions and complex transactions.
• Familiarity with buy-side and sell-side structures.
• Ability to manage transactions end-to-end and conduct due diligence.
• Strong drafting and negotiation capabilities.
• Collaborative mindset with mentoring interest.
• Experience in sophisticated real estate practice preferred.

Responsibilities

• Advise clients on buy-side and sell-side mergers and acquisitions transactions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements, disclosure schedules, ancillary documents, and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from letter of intent through post-closing matters.
• Coordinate with internal and external stakeholders to facilitate successful transaction outcomes.
• Collaborate with attorneys across tax, finance, employment, IP, and regulatory practices.
• Build and maintain strong client relationships while delivering practical guidance.
