Qualifications

• JD required from an accredited law school.
• Licensed to practice in at least one U.S. jurisdiction.
• Significant corporate, business, and transactional law experience.
• Established book of business, ideally $500K+ annually.
• Experience representing privately held companies, founders, investors, and middle-market businesses.
• Ability to originate business and maintain client relationships.

Responsibilities

• Transition and continue managing your existing corporate and transactional practice within a larger, supportive platform
• Maintain and expand relationships with established clients while developing new business opportunities
• Advise privately held companies, founders, executives, investors, and business owners on corporate and transactional matters
• Structure, negotiate, and close mergers, acquisitions, financings, joint ventures, and other strategic transactions
• Draft and negotiate commercial agreements, operating agreements, shareholder agreements, purchase agreements, and related business contracts
• Serve as outside general counsel to business clients, advising on governance, compliance, risk management, and strategic decisions
• Counsel entrepreneurs and business owners on formation, growth strategies, ownership transitions, and exit planning
• Collaborate with attorneys across complementary practice areas to provide comprehensive services
• Leverage marketing, operational, and business development resources to grow your practice
• Help shape the continued expansion of the firm's Corporate and Transactional Law practice
