Qualifications

• J.D. from an accredited law school and licensed to practice in at least one US jurisdiction.
• Significant corporate, business, and transactional law experience.
• Established practice with a transferable book of business (ideally $500K+ annually).
• Current law firm partner, solo practitioner, boutique firm owner, or senior attorney with an established client base.
• Experience advising clients on mergers and acquisitions, corporate structuring, joint ventures, financings, and strategic transactions.

Responsibilities

• Transition and continue managing your existing corporate and transactional practice within a larger, supportive platform.
• Maintain and expand relationships with your established clients while developing new business opportunities.
• Advise privately held companies, founders, executives, investors, and business owners on corporate and transactional matters.
• Structure, negotiate, and close mergers, acquisitions, financings, joint ventures, and other strategic transactions.
• Draft and negotiate commercial agreements, operating agreements, shareholder agreements, purchase agreements, and related business contracts.
• Serve as outside general counsel to business clients, advising on corporate governance, compliance, risk management, and strategic business decisions.
• Counsel entrepreneurs and business owners on company formation, growth strategies, ownership transitions, and exit planning.
• Collaborate with attorneys across complementary practice areas to provide comprehensive legal services and create additional opportunities for clients.
• Leverage the firm's marketing, operational, and business development resources to grow your practice.
• Help shape the continued expansion of the firm's Corporate and Transactional Law practice.
