Job summary

DocuSign is seeking a Director - Corporate Legal to serve as a senior attorney in the corporate and securities function, advising business and leadership and guiding complex transactions. You will work closely with finance, IR, HR, and the Board to provide pragmatic solutions and enhance governance, disclosures, and regulatory compliance.

The role reports to the Senior Director & Deputy General Counsel, Corporate & Securities, and requires JD with an active U.S.

Qualifications

• Qualified attorney with JD and active U.S. bar membership.
• 15+ years of experience in corporate law and governance.
• Proven track record in drafting and negotiating strategic transaction documents.
• Significant experience with equity compensation plans and executive compensation.
• Experience in-house at a technology or fast-paced company is preferred.

Responsibilities

• Advise on corporate and securities matters for a public company.
• Lead and manage M&A and related financings from diligence through closing.
• Draft, negotiate, and manage definitive agreements and outside counsel.
• Coordinate with investor relations, finance, and other teams on disclosures.
• Oversee corporate secretarial and entity management.
