Goodwin Recruiting seeks an experienced Corporate & Securities Attorney to join a Michigan-based business law practice. The role focuses on advising corporate clients on transactions, governance, and securities compliance, requiring 8–10+ years of relevant experience.

The ideal candidate will demonstrate strong analytical and drafting skills, the ability to manage complex matters, and a collaborative approach within a senior legal team.

Qualifications

• Juris Doctor degree from an accredited law school.
• 8–10 years of corporate legal experience.
• Strong background in general corporate law including M&A, contracts, and governance.
• Securities law experience under the Securities Act of 1933 and 1934.
• Excellent analytical, drafting, negotiation, and client counseling skills.

Responsabilités

• Advise public and private companies on securities compliance, governance, regulatory filings, and exchange requirements.
• Lead and support business transactions, including mergers & acquisitions, joint ventures, capital raises, and private investments.
• Draft, review, and negotiate commercial agreements and regulatory disclosures.
• Provide day-to-day guidance on operations, formation, risk management, and decision-making.
• Develop client relationships and mentor junior attorneys.
