Varnum LLP seeks an attorney with 8–10 years of corporate experience to join its Corporate Practice Team in Michigan. This role supports corporate clients and provides key securities law guidance as needed.

The attorney will advise on mergers and acquisitions, commercial contracts, governance, and capital market transactions, while collaborating with partners and associates to deliver practical, client-focused solutions.

Qualifications

• At least 8–10 years of relevant legal experience across general corporate matters.
• Substantive securities law expertise including 1933 Act and 1934 Act matters and exchange listing standards.
• Demonstrated ability to produce clear, client-ready written work, including legal analysis, transactional documents, board materials, and SEC disclosures.
• Sound judgment and ability to advise clients on frequent, time-sensitive matters.
• Ability to manage multiple matters and deadlines with confidentiality and professionalism.

Responsibilities

• Serve as securities and corporate governance counsel for public company clients.
• Provide judgment and practical counsel on time-sensitive matters for public company clients.
• Assist with public capital market transactions and private placements.
• Stay current on developments in securities law and regulatory requirements.
• Represent clients on mergers and acquisitions, joint ventures, and other business combinations.
• Draft, review, and negotiate a wide range of contracts and business agreements.
• Advise on entity formation, governance, and general business counseling.
• Mentor associates and collaborate on securities and corporate matters.
• Manage client relationships and contribute to business development across corporate and securities practices.
• Experience advising on Investment Company Act and Investment Advisers Act matters is helpful but not required.
