Varnum, a respected Michigan law firm, seeks an attorney with 8–10 years of corporate experience to join its Corporate Practice Team in Michigan to support securities matters and general corporate work for public and private clients.

The attorney will collaborate with partners on counseling, governance, regulatory, and transactional matters, including mergers and acquisitions, commercial contracts, and securities disclosures. Strong writing and client service are essential.

Qualifications

• JD degree from an accredited law school.
• 8–10 years of relevant legal experience across corporate matters such as mergers and acquisitions, contracts, and governance.
• Substantive securities law expertise, including 1933 Act and 1934 Act matters and exchange listing standards.
• Judgment and counseling experience advising public company clients on securities matters.
• Clear, client-ready written work product including legal analysis and disclosures.

Responsibilities

• Serve as securities and corporate governance counsel for the firm's public company clients.
• Provide timely, practical counsel on time-sensitive matters for public company clients.
• Assist with public capital market transactions and private placements.
• Draft, review, and negotiate a wide range of commercial contracts and other business agreements.
• Mentor associates and collaborate with the corporate practice team on securities and general corporate matters.
• Manage client relationships and contribute to business development across the firm's corporate and securities practices.
