You will assist on corporate transactions, governance, securities offerings, and entity formations across multiple states, coordinating filing and documentation with clients and outside counsel.

Qualifications

• Bachelor’s Degree and/or paralegal certificate required.
• 5+ years in managing complex corporate transactions in a law firm.
• Excellent verbal and written communication skills.
• Strong organizational skills and attention to detail.

Responsibilities

• Prepare corporate documents for forming corporations, partnerships, and LLCs in various states.
• Prepare amendments, withdrawals, mergers, and dissolutions; complete stock certificates.
• Handle franchise tax forms, maintain corporate minute books, and draft bylaws/operating agreements.
• Assist with UCC filings and IRS SS-4/EIN procedures; support closings and transactions.
• Assist with asset and stock purchase agreements and private securities offerings.
