Job summary

Jobot is seeking a Corporate + Transactional Paralegal / Legal Assistant in Bethesda, MD to support its Corporate, Business, Commercial Real Estate, and Transactional practices. You will handle substantive transactional work and work closely with attorneys and clients to move matters from inception through closing.

Ideal candidates have experience with corporate transactions, entity management, or real estate matters, and are organized, detail-focused, and proficient in MS Office.

Qualifications

• Experience as corporate/transactional/paralegal or legal assistant in a law firm.
• Experience supporting corporate transactions, entity management, or real estate matters.
• Excellent organizational skills and attention to detail.
• Ability to manage multiple matters and deadlines simultaneously.
• Strong written and verbal communication skills.
• Proficiency with Microsoft Office (Word/Outlook/Excel).
• Willingness to learn AI tools like Copilot and CoCounsel.
• Ability to work independently while collaborating with attorneys and staff.

Responsibilities

• Form corporations, LLCs, partnerships, and other business entities.
• Prepare and file formation and annual documents with state agencies.
• Maintain operating agreements, bylaws, resolutions, and minutes.
• Maintain corporate records, minute books, and compliance calendars.
• Assist with ongoing entity maintenance and governance matters.
• Support mergers, financings, and real estate transactions.
• Prepare, review, proofread, redline and organize transactional documents.
• Coordinate due diligence and title/survey review.
• Maintain transaction checklists and deadlines.
• Prepare signature packets, closing deliverables, and post-closing docs.
• Help keep transactions moving from inception to closing.
• Communicate with clients, agencies, title companies, lenders, surveyors.
