Qualifications

• 5+ years of experience managing complex corporate transactions in a law firm environment.
• Bachelor’s Degree and/or paralegal certificate required.
• Excellent verbal and written communication skills.
• Strong organizational skills and attention to detail.
• Experience with Interwoven/FileSite or similar document management systems.
• Experience with Aderant/Elite Webview or comparable timekeeping software.

Responsibilities

• Assist attorneys in preparing corporate documents and materials for formation of corporations, partnerships and LLCs.
• Prepare amendments, withdrawals, mergers and dissolution documents.
• Prepare and issue stock certificates; file franchise tax forms; maintain corporate minute books.
• Draft bylaws and operating agreements; assist with UCC filings and related requests.
• Assist with SS-4 forms to obtain EINs for entities; support closings and corporate transactions.
• Support asset purchase, stock purchase, and merger agreements; assist with private securities offerings and SEC filings.
