Job summary

Shopdoen is seeking a Senior Corporate Paralegal to support governance, equity administration and contract management within a hybrid in-house legal team. The role reports to the General Counsel and collaborates across Finance, People, Operations and outside counsel.

The ideal candidate brings at least 6 years of paralegal experience in corporate settings, with strong organizational skills and the ability to handle confidential information with discretion.

Qualifications

• Bachelor's degree required; paralegal certificate or equivalent legal training preferred.
• 6+ years of relevant paralegal experience, preferably in-house or within a sophisticated firm.
• Experience supporting corporate governance, Board matters, cap table/equity administration and corporate transactions.
• Experience with privately held, investor-backed or growth-stage companies preferred.
• Strong written and verbal communication skills with exceptional attention to detail.
• Proficiency with Google Workspace and Microsoft Office; comfortable with legal tech platforms.

Responsibilities

• Maintain corporate records, minute books, organizational documents and stockholder records.
• Manage equity administration, issuances, transfers and other equity transactions.
• Coordinate equity grants and related documentation and recordkeeping.
• Track investor documentation, agreements and ongoing obligations.
• Maintain contract management system and ensure timely renewals and expirations.
• Support drafting, review and administration of commercial agreements; assist with outside counsel.
