Job summary

Qualifications

• Minimum of six years of related law firm experience as a paralegal.
• Bachelor’s degree or equivalent; paralegal certificate preferred.
• Knowledge of state corporation laws and federal securities laws.
• Strong research skills across federal, state and local agencies.
• Excellent organizational and project management skills.

Responsibilities

• Manage a diverse portfolio of emerging company clients, including startups and venture-backed businesses.
• Prepare and review incorporation documents, investor agreements, and financing documents.
• Assist with transactional work, such as stock financings and capitalization tables; maintain checklists and closing documents.
• Onboard records for new clients; organize and summarize corporate documents for seamless integration.
• Create, manage, and maintain equity platforms (Carta, Pulley, JPM, Shareworks).
• Protect confidential and privileged information.
