Consilio LLC is seeking a Corporate Paralegal to support a leading AMLAW firm across governance, entity management, and transactional matters. You will handle corporate records, capitalization tables, and SEC-related filings while assisting with closings and due diligence.

The ideal candidate has experience maintaining records, managing equity documents, and coordinating filings in a fast-paced legal environment. A bachelor’s degree or paralegal certificate is preferred.

Qualificações

• Experience maintaining corporate records, minutes, and entity documents.
• Proficient with capitalization tables and equity records.
• Familiarity with SEC filings and disclosures.
• Experience supporting corporate transactions and closings.
• Knowledge of due diligence and data room processes.

Responsabilidades

• Maintain corporate records, minute books, and entity documentation in electronic and hard-copy formats.
• Prepare and file organizational/governance documents such as Articles of Incorporation/Organization, amendments, consents, annual reports, and state filings.
• Assist with formation/maintenance of corporations, LLCs, nonprofits, and other entities.
• Draft and file with Secretaries of State and other regulators; manage capitalization tables and equity records.
• Support transfer agent activities and equity incentive plans; prepare closing books and volumes.
• Prepare closing statements, due diligence materials, and organize virtual data rooms.
