Job summary

Job description

The Senior Corporate Paralegal will support all corporate areas with a focus on capital markets and provide higher level support and substantive work as well as assist with mentoring and training juniors paralegals.

• Assist on client matters requiring higher-level support
• Support full-life cycle of corporate transactions, including capital financings, mergers and acquisitions, and public offerings
• Assist with the formation, maintenance and dissolution of corporations, limited liability companies, limited partnerships, and other types of business entities
• Assist with drafting, preparation and filing of registration statements and other SEC filings
• Assist with EDGAR and UCC searches
• Assist with updating corporate governance documents, due diligence reviews and preparation of stock certificates

QUALIFICATIONS

• Thorough knowledge and expertise of the corporate transaction process
• Strong organizational skills and high level of attention to detail
• Ability to collaborate with and mentor junior paralegals
• Bachelor’s degree required
• At least 5 years prior paralegal working experience in-house or at a top law firm required
• Prior coordinating or mentorship experience preferred
