Qualifications

• 5-7 years of relevant corporate and transactional legal experience.
• Significant experience with mergers and acquisitions and corporate dealmaking.
• Experience conducting and analyzing financial and legal due diligence.
• Strong drafting and negotiation skills involving complex corporate and transactional documents.
• Licensed to practice law in Ohio.

Responsibilities

• Represent clients in domestic and international mergers, acquisitions and other corporate transactions.
• Draft, review, and negotiate purchase agreements, operating agreements, shareholder agreements, and other corporate documents.
• Provide counsel on structuring, strategy, financing, and execution of business transactions.
• Conduct and oversee legal and financial due diligence in connection with mergers, acquisitions, and other transactions.
• Advise businesses on day-to-day corporate and transactional legal matters.
• Assist clients with corporate governance, entity structuring, reorganizations, and related business matters.
• Coordinate with clients and their accounting, tax, financial, and other professional advisors.
• Develop and maintain strong relationships with clients and colleagues.
• Demonstrate initiative, sound judgment, and commitment to professional development.
