Corporate, Tax & Transactional Partner

Roetzel & Andress is seeking an accomplished Partner-Level Attorney to join our Corporate, Tax & Transactional practice in Canfield, Ohio. We are looking for an established attorney with significant experience in corporate and business transactions, M&A negotiations and transaction structuring, joint ventures, and general corporate counseling who is interested in growing their practice within a collaborative, full-service law firm.

Our Corporate, Tax & Transactional attorneys advise businesses on day-to-day legal matters, as well as the structure, strategy, and financing of domestic and international mergers and acquisitions and other complex business transactions.

The ideal candidate will bring substantial experience handling sophisticated corporate and transactional matters and have the ability to develop and maintain strong client relationships. This position provides an opportunity for an established attorney to grow their practice while collaborating with attorneys across the firm to meet the broader legal and business needs of clients.

Job Responsibilities

• Advise clients on general corporate and day-to-day business matters
• Structure, negotiate, and document mergers, acquisitions, dispositions, joint ventures, and other sophisticated business transactions
• Counsel clients regarding business formation, corporate governance, reorganizations, and ownership structures
• Draft and negotiate purchase agreements, operating agreements, shareholder agreements, joint venture agreements, and other commercial contracts
• Advise clients on corporate and tax considerations associated with business transactions
• Provide strategic counsel to privately held, closely held, and family-owned businesses
• Develop and maintain strong client relationships and contribute to the continued growth of the firm’s Corporate, Tax & Transactional practice
• Utilize AI-powered tools and emerging legal technologies to enhance efficiency and client service

Requirements and Qualifications

• Minimum of 7-10 years of relevant legal experience
• Significant experience in corporate and business transactions, including M&A negotiations and transaction structuring, joint ventures, and general corporate counseling
• Demonstrated ability to independently manage sophisticated business transactions
• Strong drafting, negotiation, analytical, and client service skills
• Established client relationships and demonstrated business development capabilities
• Ability to collaborate effectively with attorneys across multiple practice areas and offices
• Licensed to practice law in Ohio
