Job summary

Aligned Talent Acquisition is partnering with a nationally recognized Am Law firm seeking a Corporate / M&A Associate Attorney to join its Cincinnati, OH office.

This role offers exposure to sophisticated middle-market transactions, direct client interaction, and opportunities to work with experienced corporate attorneys on mergers, acquisitions, divestitures, and financing across diverse industries.

Qualifications

• 4+ years of substantive corporate and M&A experience
• Experience handling mergers, acquisitions, divestitures, and general business transactions
• Familiarity with entity formation, corporate governance, financing, and restructuring
• Experience with fund formation and strategic joint ventures is highly desirable
• Strong transactional drafting, negotiation, analytical, and communication skills
• Sound business judgment and the ability to manage multiple transactions in a collaborative environment

Responsibilities

• Represent clients in mergers, acquisitions, and divestitures.
• Advise businesses on entity formation and corporate governance.
• Structure and negotiate financing and restructuring transactions.
• Assist with fund formation and strategic joint ventures.
• Draft and negotiate complex transactional agreements.
• Work closely with experienced partners and clients throughout the transaction lifecycle.
