Southeast Law Firm in Charlotte or Raleigh seeks a Senior Corporate Associate to handle sophisticated transactional work within the Real Estate & Commercial Development Practice Group. You will collaborate with public and private companies, PE sponsors, and investors, guiding matters from structuring to closing.

The ideal candidate has a JD from a top-tier school, NC Bar in good standing, and 6+ years of corporate transactional experience with strong drafting and client-management skills.

Qualifications

• J.D. from a top-tier law school with an excellent academic record.
• Active Bar Admission in North Carolina in good standing.
• 6+ years of substantive corporate transactional experience in a sophisticated law firm.
• Experience advising on mergers and acquisitions and complex business transactions.
• Familiarity with buy-side and sell-side transaction structures.
• Strong drafting and negotiation capabilities for acquisition agreements.

Responsibilities

• Advise clients on buy-side and sell-side mergers and acquisitions transactions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements, disclosure schedules, and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from LOI through post-closing matters.
• Coordinate with internal and external stakeholders to facilitate successful outcomes.
• Collaborate with lawyers across tax, finance, employment, IP, and regulatory practices.
• Build and maintain strong client relationships with practical legal guidance.
