Ideal candidates hold a JD from a top‑tier law school, active NC bar status, and 6+ years of corporate transactional experience in a sophisticated firm.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active North Carolina Bar admission in good standing.
• 6+ years of corporate transactional experience in a sophisticated law firm.
• Strong background advising on mergers and acquisitions.
• Experience with buy-side and sell-side structures.
• Ability to manage transactions from structuring to closing.
• Strong drafting and negotiation of acquisition documents.
• Excellent communication and client relationship skills.
• Collaborative mindset with mentoring junior attorneys.
• Prior real estate practice experience is a plus.

Responsibilities

• Advise clients on buy-side and sell-side M&A.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements and closing materials.
• Counsel clients on transaction strategy, risk allocation, and objectives.
• Manage deal execution from LOI through post-closing matters.
• Coordinate with internal and external stakeholders to facilitate successful outcomes.
• Collaborate with attorneys across tax, finance, employment, IP, and regulatory practices.
• Build and maintain strong client relationships.
