Responsabilidades

• Draft, review, and negotiate transactional documents such as purchase agreements and operating agreements.
• Manage transactions from structuring and due diligence through negotiation and closing.
• Provide strategic legal counsel to business owners, executives, and corporate clients.
• Collaborate with attorneys across practice areas to deliver comprehensive client solutions.

This opportunity is ideal for an experienced corporate attorney, counsel, or partner with a strong background in mergers and acquisitions, corporate transactions, and business advisory matters.

Key Responsibilities

• Represent clients in mergers, acquisitions, divestitures, and other complex business transactions.
• Advise businesses on corporate governance, entity structuring, commercial agreements, and general corporate matters.
• Draft, review, and negotiate transactional documents, including purchase agreements, operating agreements, and other business contracts.
• Manage transactions from initial structuring and due diligence through negotiation and closing.
• Provide strategic legal counsel to business owners, executives, and corporate clients.
• Collaborate with attorneys across complementary practice areas to deliver comprehensive client solutions.
• Maintain and expand client relationships while contributing to the continued growth of the firm's corporate practice.

Qualifications

• Juris Doctor (JD) from an accredited law school.
• 10+ years of substantive corporate, M&A, or business transactional experience.
• Active Bar membership in good standing, with Colorado admission or eligibility to waive into the Colorado Bar.
• Demonstrated experience managing sophisticated corporate transactions and advising business clients.
• Strong analytical, drafting, negotiation, and client relationship skills.
• Ability to work independently while contributing positively to a collaborative team.
• Established client relationships and some portable business are preferred.
