Qualifications

• J.D. from an accredited law school.
• Law school class years 2021–2024.
• Significant experience handling M&A transactions.
• Strong understanding of corporate law and market transaction terms.
• Experience drafting and negotiating transaction documents.
• Strong deal management and organizational skills.
• Excellent analytical, writing, and communication abilities.
• Entrepreneurial mindset with strong client-service skills.
• Ability to manage matters independently and assume substantial responsibility.
• Interest in direct client interaction and relationship development.
• Strong academic credentials.

Responsibilities

• Advise corporate clients and private equity funds on complex transactional matters.
• Represent clients in M&A, private equity investments, minority investments, and strategic transactions.
• Draft and negotiate acquisition agreements and ancillary transaction documents.
• Manage due diligence processes and transaction execution.
• Coordinate transaction teams and closing processes.
• Advise clients on corporate governance and transactional issues.
• Work directly with clients, investors, management teams, and opposing counsel.
• Support business development and client relationship initiatives.
