Jobot in Philadelphia is seeking a Corporate Associate with 4-6 years of transactional experience to join its Corporate & Securities group. The role focuses on mergers and acquisitions and advising businesses on a broad range of corporate matters.

The ideal candidate will handle sophisticated transactions from inception through closing, interact with private equity firms, and contribute to a collaborative, entrepreneurial culture at a well-established firm.

Qualifications

• Ideal candidate is collaborative with excellent drafting, negotiation, and analytical skills in a fast-paced transactional practice.

Responsibilities

• Represent clients in mergers, acquisitions, asset and equity sales, and other strategic business transactions.
• Advise privately held companies on day-to-day corporate legal matters and ongoing business operations.
• Assist clients with entity formation, corporate governance, organizational matters, and general business counseling.
• Support private equity investments and transactions involving portfolio companies.
• Structure and negotiate joint venture arrangements.
• Handle debt and equity financing transactions.
• Draft, review, and negotiate purchase agreements, ancillary transaction documents, and other commercial agreements.
• Manage due diligence efforts, coordinate transaction timelines, and oversee closing processes.
• Supervise junior attorneys and legal staff as appropriate while serving as a key member of transaction teams.
• Build and maintain strong client relationships through direct communication and practical legal advice.
