BagZag, Inc. seeks a Corporate Legal Specialist to support entity governance and transactions across U.S. and international entities, partnering with Legal, Finance, Tax, and external counsel to keep records audit-ready.

The role requires 6+ years in a corporate legal setting, strong entity management skills, and the ability to operate in a fast-paced growth environment. Virginia Notary license or ABA Paralegal certificate are a plus.

Qualifications

• At least 6 years of experience in a corporate legal department or law firm.
• Strong U.S. entity management and corporate administrative/compliance experience.
• Ability to work in a fast-paced environment with high-volume matters.
• Excellent written and verbal communication skills; able to collaborate with executives and external counsel.
• Preferred: ABA Paralegal certificate and Virginia Notary license.

Responsabilités

• Manage the full lifecycle of U.S. entity administration (formations, qualifications, filings, good standing).
• Maintain corporate records, subsidiary structures, and governance documents.
• Support board/shareholder governance: appointments, meetings, consents, and resolutions.
• Assist with domestic and international entity formations and post-incorporation matters.
• Coordinate with outside counsel and cross-functional teams on filings and approvals.
• Support international entities with meetings, local filings, apostilles, and cross-border documents.
• Handle signatory authority and powers of attorney for various matters.
• Respond to diligence requests for financings, acquisitions, and regulatory inquiries.
• Improve entity management tools and processes for scalability.
• Collaborate on equity administration, tax, compliance, and IP records.
