Job summary

Hawaiian Electric Company is seeking a Senior Associate General Counsel to lead corporate and securities matters for the NYSE-listed group. You will provide in-house services across governance, capital markets and executive compensation, and work with subsidiaries in Hawaii and beyond.

Role requires deep regulatory knowledge, strong collaboration with internal clients, and experience guiding public companies through complex transactions.

Qualifications

• Law degree, Hawaii State Bar member and Hawaii license.
• Thorough knowledge of securities regulation and corporate law.
• Knowledge of executive compensation, contracts, litigation and energy law.
• Working knowledge of accounting principles and financial statements preferred.

Responsibilities

• Provide in-house legal services for Hawaiian Electric Industries and subsidiaries on securities, governance, compliance, and capital markets.
• Manage securities issuances, debt and equity financings, and DRIP matters.
• Draft/review regulatory filings (10-K/Q, 8-K, Proxy; Form 3/4/5) and related disclosures.
• Advise on Hawaii corporate law, governance, contracts and regulatory matters.
• Assist with M&A and corporate transactions; oversee compensation plans and ERISA programs.
• Develop legal training and supervise outside counsel; participate in incident management as needed.
