Job summary

DataOne is seeking a Senior Corporate Counsel to join its growing Legal Department. Reporting to the Chief Legal Officer, this role will support M&A, financing, corporate governance, regulatory compliance, and strategic growth initiatives.

You will work with executives, finance, lenders, investors, auditors, and regulators on complex transactions and regulatory matters, with exposure to executive-level decision-making in a fast-paced, high-growth environment.

Qualifications

• J.D. from an accredited law school and bar admission in good standing.
• At least 8 years of legal experience including M&A, corporate, financing, and governance.
• Experience working with lenders, investors, auditors, and external advisors.
• Excellent drafting, negotiation, analytical and communication skills.
• Strong business judgment and commercial awareness.

Responsibilities

• Support mergers, acquisitions, divestitures, JVs, and strategic partnerships.
• Draft and negotiate LOIs, term sheets, purchase agreements, and related documents.
• Lead due diligence and coordinate deal workstreams through closing.
• Assist with financing and banking documents, covenants and term sheets.
• Support governance for US and international subsidiaries.
• Assist regulatory, compliance, and strategic legal matters.
• Support litigation and dispute management as needed.
