South Bow Corp. seeks an attorney to join our legal team in Houston or Calgary. The role focuses on corporate law with emphasis on transactions, financing, and governance, delivering practical guidance to internal clients.

You will collaborate with cross-functional groups, manage due diligence, negotiate and structure deals, and oversee external counsel to advance business objectives while balancing risk and compliance in a high-performing environment.

Formación

• 7+ years of relevant experience in corporate (securities and/or M&A) law.
• Juris Doctor (JD) or LLB from an accredited law school.
• Legally authorized to work in the United States or Canada.

Responsabilidades

• Partner with internal client groups to provide timely legal support.
• Assist with corporate transactions, including NDAs, structuring, negotiation, drafting, diligence, closings, and post-close integrations.
• Support public and private financing activities, including debt and equity offerings, credit facilities, and other financing activities.
• Identify and assess legal risks and develop strategies to mitigate risk and protect the Company’s interests.
• Oversee legal due diligence for transactional activities.
• Advise on governance matters and securities laws, disclosure, and stock exchange requirements.
• Instruct external counsel to support complex transactions.
• Act as a trusted advisor within a small, dynamic legal team.
