Job summary

Deepgram, a San Francisco-based leader in real-time voice AI APIs, seeks an exceptional corporate lawyer to own the corporate function as the company scales. You’ll lead IPO readiness, financings, M&A, governance, and international structuring, reporting to the General Counsel and shaping scalable processes.

You’ll collaborate with Finance and People on employee equity and cap table matters, while building an AI-native legal function that supports rapid growth and complex cross-border activity.

Qualifications

• JD from a U.S. accredited law school and 7–15 years of experience in legal practice (in-house, at a firm, or both).
• Demonstrated strength in working with private, venture-backed companies on a high growth trajectory, including IPO readiness.
• Fluency in IPO readiness, financings, M&A, governance, Board matters, employee equity, and international structures.

Responsibilities

• Direct corporate governance at a fast-growing startup, building habits and systems for clarity and confidence.
• Drive IPO readiness—compliance frameworks, SEC reporting structures, and internal governance policies.
• Prepare for, structure and execute financings that support our ambitions.
• Lead M&A work from conversation through integration to grow the company.
• Partner with Finance and People on employee equity—cap table and secondaries.
• Design processes to scale globally with international subsidiaries.
• Track worldwide regulatory developments and translate into actionable positions.
