Job summary

EasyPost is seeking a Corporate Counsel to provide broad legal support across the company, focusing on corporate matters. You will partner with business leaders to offer practical, business-focused guidance, manage risk, and enable growth and strategic initiatives.

The role includes governance, board matters, M&A due diligence, regulatory filings, equity plan administration, and a wide range of commercial agreements.

Qualifications

• Juris Doctor degree from an accredited law school.
• Admission to and good standing with at least one U.S. state bar.
• 5+ years of relevant legal experience, with meaningful in-house experience.
• Experience at a technology company with governance exposure.
• Experience with corporate governance, board matters, M&A due diligence, regulatory/SEC filings, equity plans, and general corporate matters.
• Experience drafting, reviewing, and negotiating commercial contracts.

Responsibilities

• Provide day-to-day legal counsel and strategic guidance across a broad range of corporate matters.
• Support governance matters, including board meetings, materials, minutes, and resolutions.
• Assist with M&A due diligence, transaction support, and coordination with stakeholders and outside counsel.
• Manage regulatory filings, entity management, and governance compliance.
• Support administration of equity plans and related legal matters.
• Draft, review, negotiate, and advise on revenue, vendor, and partnership contracts.
• Collaborate with Sales, Product, Finance, and other teams to structure transactions with risk balanced against business goals.
• Provide practical legal guidance as EasyPost launches new products and partnerships.
