Job summary

ISACA’s Corporate Counsel reviews, drafts, and negotiates commercial contracts across the enterprise. The role supports contract templates, processes, and the CLM system, working closely with internal partners to improve contracting efficiency.

Qualified candidates hold a JD and active U.S. bar membership, with 5+ years in contracts and a strong understanding of SaaS, privacy, cybersecurity, and vendor terms. Some onsite collaboration and cross-functional work are expected.

Qualifications

• JD from an accredited law school.
• Active bar membership in good standing in at least one U.S. jurisdiction.
• 5+ years relevant law firm or in-house experience.
• Experience drafting, reviewing, negotiating, and advising on commercial contracts.
• Experience developing or revising contract templates and standard legal language.
• Understanding of commercial, technology, and vendor contracting issues.
• Familiarity with SaaS, privacy, cybersecurity, and data processing terms.
• Experience with contract workflow tools or CLM platforms.
• Interest in process improvement and scalable legal service delivery.
• Experience collaborating with procurement, finance, IT, and compliance teams.

Responsibilities

• Draft, review, revise, and negotiate a high volume of varied legal documents, including MSAs, SaaS, vendor agreements, and NDAs.
• Serve as primary liaison between Legal and internal business units for contract matters.
• Advise internal stakeholders on standard contract terms, legal issues, and approval requirements.
• Partner with senior legal team members on complex or high-risk matters.
• Develop, document, and maintain contract-related processes, including clauses, policies, playbooks, workflows, and CLM usage.
• Identify and implement tools and processes to enhance contract management efficiency.
• Support CLM system administration and ongoing improvement at ISACA.
• Maintain contract records, templates, workflows, and data within CLM.
• Conduct legal research, policy review, and other departmental projects.
• Assist with due diligence, negotiation, and closing activities as assigned.
• Support privacy-related compliance, risk assessment, and incident response requirements.
