F.N.B. Corporation seeks a Senior Corporate Counsel in Pittsburgh, PA to advise on legal, regulatory, litigation and risk matters for a public financial services company.

You will oversee outside litigation, guide corporate strategy, and support executives on contracts, compliance and M&A activity. The role requires a JD with 10+ years of banking law experience, strong communication skills, and the ability to translate complex issues into practical business solutions.

• JD is required.
• 10+ years of related legal experience in financial services.

Responsabilidades

• Manage outside litigation and outsourced matters; supervise budgets and fees.
• Provide legal guidance to executives on banking regulations and contracts.
• Advise on commercial and consumer lending documentation and UCC matters.
• Assist with due diligence for mergers and acquisitions and vendor contracts.
• Develop compliance policies and respond to bank examinations and audits.
• Communicate with regulators on inquiries related to whistleblower issues.
• Support HR on employment and ERISA matters; oversee Code of Conduct.
• Prepare regulatory applications for consolidations, expansions, and acquisitions.
• Advise the Board on risk management and corporate-wide policy matters.
