Position Overview

Responsibilities include reviewing, drafting, and advising on complex commercial transaction documents, securities-based lending transaction documents, escrow and tri-party agreements, international and FX transactions, public finance transactions, municipal bond offering response and documentation, tax-anticipation notes, banking services related vendor contract review, negotiation, and enforcement, as well as general legal research and guidance for various lines of business.

Primary Responsibilities

• Assist Senior Corporate Counsel with management of outside litigation and other outsourced legal matters, including supervision and communication with outside counsel.
• Prepare and review pleadings and other litigation-related documents.
• Provide legal analysis and practical advice to business leaders on laws, regulations, rules and policies related to corporate operations.
• Provide counsel to affiliates, business functions, Compliance, and high-level management.
• Review material contracts, licensing agreements, deeds, and leases.
• Conduct research on legal, compliance and industry matters; assist with policy and procedure development and maintenance.
• Provide guidance on banking and commercial law issues, including check and item processing, deposit and UCC requirements.
• Provide legal guidance to HR on employment and benefit issues.
• Participate in due diligence for potential acquisition transactions.
• Perform other related duties and projects as assigned.
• Act as a risk manager in compliance with F.N.B. Corporation’s risk management program.
