Job summary

F.N.B. Corporation is seeking a Corporate Counsel in the Legal business unit to provide guidance on complex legal, regulatory and risk matters arising from public company activities in the financial services industry.

The role involves drafting and reviewing complex documents and advising business teams on compliance, risk, and enforcement issues. The position reports to Senior Corporate Counsel and requires 5+ years of relevant experience, a JD, and an active attorney license.

• JD required to perform primary responsibilities.
• Minimum 5 years of job-related experience required.
• Excellent project management and communication skills.

Responsibilities

• Assist Senior Corporate Counsel with managing outside litigation and supervising outside counsel; prepare and review pleadings and related documents.
• Provide sound legal analysis and practical advice on laws, regulations and policies affecting the bank’s operations.
• Review material contracts, licensing agreements, deeds and leases.
• Support Legal Department with research, policy development and implementation.
• Offer guidance on banking and commercial law issues including HR matters.
• Participate in due diligence reviews for potential acquisitions.
• Perform other related duties as assigned.
