Job summary

Saint Cyr Partners is seeking a Senior Corporate Associate Attorney to join its Corporate Practice Group in Charlotte or Raleigh. The hybrid role offers sophisticated deal work, mentorship, and long-term career growth within a collaborative team.

The ideal candidate brings 6+ years of corporate transactional experience, strong drafting and negotiation skills, and a track record handling complex M&A, cross-border, and strategic matters. North Carolina bar admission is required.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in North Carolina, in good standing.
• 6+ years of substantive corporate transactional experience in a sophisticated law firm.
• Strong background advising on mergers and acquisitions and complex business transactions.
• Familiarity with buy-side and sell-side transaction structures.

Responsibilities

• Advise clients on buy-side and sell-side mergers and acquisitions transactions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements, disclosure schedules, ancillary documents, and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from letter of intent through post-closing matters.
• Coordinate with internal and external stakeholders to facilitate successful transaction outcomes.
• Collaborate with attorneys across tax, finance, employment, IP, and regulatory practices.
• Build and maintain strong client relationships while delivering practical legal guidance.
