Qualifications

• JD from an accredited law school.
• Admission to the Alabama state bar.
• Experience as a corporate attorney focusing on governance, formation, asset and stock sales, corporate/entity transactions, and securities law.
• Strong analytical and problem-solving skills with practical client-focused advice.
• Excellent negotiation and communication skills; ability to close complex transactions; portable book of business.

Responsibilities

• Provide legal advice on corporate governance issues and regulatory compliance.
• Assist in formation and structuring of corporate entities and transactions.
• Handle asset and stock sales, including drafting and due diligence.
• Oversee mergers, acquisitions, and joint ventures; manage risks.
• Advise on securities law matters and offerings, public and private.
• Represent clients in shareholder disputes and litigation as needed.
• Stay updated on changes in corporate and securities law.
