The role requires a JD, Alabama bar admission, and a portable book of business; you will advise on securities matters and represent clients in shareholder disputes, with competitive compensation and a permanent, full‑time arrangement.

Qualifications

• JD from an accredited law school.
• Admission to the Alabama state bar.
• Experience as a corporate attorney focusing on governance, formation, asset and stock sales, and securities law.
• Strong analytical and problem-solving skills with business-focused advice.
• Exceptional negotiation and client-relations abilities.

Responsibilities

• Providing legal advice on corporate governance issues and regulatory compliance.
• Assisting in formation and structuring of corporate entities and advising on jurisdiction and entity type.
• Handling asset and stock sales, drafting and reviewing purchase agreements, due diligence, and term negotiations.
• Overseeing corporate transactions such as mergers, acquisitions, and joint ventures and managing related risks.
• Advising on securities law matters, including offerings and shareholder rights issues.
• Representing clients in shareholder disputes and litigation, drafting pleadings and conducting discovery.
