Qualifications
- JD from an accredited law school.
- Active Alabama state bar license.
- Experience as corporate attorney focusing on governance, formation, asset and stock sales, corporate transactions, and securities law.
- Proven ability to close complex transactions.
- Excellent interpersonal and client-relations skills.
Responsibilities
- Provide legal advice on corporate governance and regulatory compliance.
- Assist in formation and structuring of corporate entities and jurisdictions.
- Draft and review purchase agreements for asset and stock sales.
- Oversee mergers, acquisitions, and joint ventures with risk management.
- Advise on securities law and offerings; manage shareholder rights.
- Represent clients in shareholder disputes and litigation.
- Stay updated on corporate and securities law changes impacting clients.
