Job summary

Cotiviti is seeking a senior attorney to support its Corporate Legal team by responding to routine matters and drafting, reviewing, and negotiating contracts such as customer agreements, master services agreements, SOWs, NDAs, and licensing arrangements.

You will advise on commercial, operational, and regulatory issues, craft templates and playbooks, and support strategic transactions with a focus on healthcare, technology, and professional services. This role is remote within the United States.

Qualifications

• J.D. or equivalent law degree from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction.
• 6+ years legal experience with a law firm or corporate legal department handling contract matters.
• Ability to work remotely with minimal interruptions to the work day.
• Proven ability to learn the legal and business drivers of complex contracts.
• Experience focusing on healthcare, technology, or professional services.

Responsibilities

• Lead the drafting, review, negotiation, and management of complex commercial agreements, including customer agreements, master services agreements, statements of work, vendor agreements, NDAs, licensing, and partnerships.
• Apply advanced legal and business judgment to evaluate contract terms, risk, regulatory considerations, and business objectives; propose practical solutions.
• Determine negotiation strategies and adapt templates, playbooks, and processes for complex assignments.
• Advise internal stakeholders on complex commercial, operational, and regulatory matters, translating legal concepts into clear guidance.
• Develop and guide contract templates, standard terms, and workflows to improve consistency, efficiency, and risk management.
