Job summary

Cotiviti seeks a Senior Counsel, Partnerships to lead contracting for strategic partnerships and a wide range of vendor agreements, including MSA, SaaS, and NDA, with emphasis on channel and alliance deals.

You will partner with senior stakeholders across compliance, privacy, and business units, manage contract lifecycles, drive risk assessments, and help shape governance for data privacy and technology deployments across on-premise, cloud, and hybrid models.

Qualifications

• JD degree and active bar membership.
• 8–10 years of in-house or big law firm experience.
• Experience negotiating complex commercial agreements.
• Experience with M&A or corporate development preferred.

Responsibilities

• Draft, review, and negotiate strategic partnership agreements and related transaction documents, including master services agreements, software license agreements, SaaS/PaaS/IaaS, business associate agreements, statements of work, and related agreements.
• Provide advice on contract interpretation, legal risks, and compliance requirements.
• Maintain contract databases and tracking systems for vendor and strategic partner relationships; prepare legal summaries and risk assessments.
