Job summary

Early Warning is seeking an experienced in-house transactional attorney to draft, review, and negotiate a broad set of commercial contracts across multiple business units. You will partner with privacy, security, and risk teams to deliver compliant, business-aligned guidance and templates, while overseeing outside counsel as needed.

The role emphasizes strong negotiation and drafting skills, with eight years of transactional experience and bar admission.

Qualifications

• Juris Doctor from accredited law school; admission to Arizona or other State bar
• Minimum of eight (8) years of transactional legal experience, preferably in-house
• Strong presentation and negotiation skills with solid business judgment and communication skills
• Experience defining legal issues and risks; ability to advise across business units
• Strong collaborative skills to build internal/external partnerships
• Experience with contract management processes and CLM tools (e.g. Agiloft, Salesforce, Coupa)
• Background and drug screen compliance

Responsibilities

• Draft, review, and negotiate a wide range of commercial contracts including MSAs, CPAs, SOWs, vendor and IP licenses
• Support M&A activities as needed
• Provide guidance on US and international regulatory frameworks in contracting
• Develop and maintain contract templates and guidelines
• Collaborate with privacy, security, compliance, risk management and legal teammates
• Supervise junior attorneys or contract professionals as needed
• Manage outside counsel and ensure efficient contract processes
• Deliver timely, business-aligned legal guidance to enable objectives
