Job summary

The Capital Markets practice of an AmLaw 50 firm seeks an Associate Attorney to join its Washington, DC/New York team. You will advise issuers, underwriters, investors, and public companies on a broad range of capital markets transactions and governance matters, across diverse industries.

Ideal candidates have 2–3 years of Securities Act/Exchange Act experience, strong drafting and collaboration skills, and a track record in sophisticated, cross-border offerings. Large-firm experience preferred.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in the applicable jurisdiction, in good standing.
• 2–3 years of substantive Securities Act/Exchange Act experience and governance matters.
• Experience representing issuers, underwriters, agents, and financial institutions in offerings.
• Advising public companies on SEC reporting, disclosure, and governance requirements.
• Familiarity with IPOs, 144A offerings, private placements, and debt offerings.
• Desire to work on sophisticated, high-profile transactions across industries.
• Strong drafting, analytical, organizational, and communication skills.

Responsibilities

• Advise issuers, underwriters, and investors on equity capital markets transactions.
• Represent clients in debt capital markets and convertible securities deals.
• Counsel public companies on SEC reporting and governance obligations.
• Advise boards on shareholder engagement and stock exchange requirements.
• Assist international issuers and cross-border offerings in the U.S.
• Represent REITs and real estate companies in formation and capital raising.
• Collaborate with attorneys across practice groups on complex transactions.
