Job summary

Qualifications

• Minimum 10 years of directly related work experience.
• Bachelor’s degree and a law degree from an accredited school.
• In-house experience at a public company preferred.
• International experience desired.
• Ability to counsel internal clients with clear, concise, and pragmatic advice.

Responsibilities

• Ensure compliance with SEC laws and NYSE rules.
• Manage Sarbanes-Oxley and 1934 Act compliance and reports (10-Ks, 10-Qs, 8-Ks and proxy statements).
• Collaborate with CFO, Investor Relations, Marketing and other Legal team members on earnings releases and disclosures.
• Advise on corporate policies, procedures and governance programs for a public company.
• Advise on equity and debt financings, acquisitions, divestitures, and joint ventures.
• Support Board activities, including drafting and preparing meeting materials and minutes.
• Provide guidance on governance for international markets.
• Support stock administration and trading window education.
• Assist in Section 16 filings and subsidiary oversight.
• Stay updated on governance trends and SEC issues.
