You will lead SEC compliance, NYSE requirements, and public-company reporting (10-Ks, 10-Qs, 8-Ks, proxies) and advise on governance, board matters, and regulatory developments. You will also support equity and debt financings, M&A, and international operations.

Qualifications

  • J.D. from an accredited law school with at least 10 years of relevant legal experience.
  • Minimum 5 years of law firm experience and in-house securities/governance at a public company.
  • Strong background in SEC reporting, governance, and public company compliance.
  • International experience preferred; experience with manufacturing/energy/tech sectors is a plus.

Responsibilities

  • Lead compliance with SEC regulations, NYSE requirements, and public company reporting obligations (10-Ks, 10-Qs, 8-Ks, proxies, Sarbanes-Oxley).
  • Advise on corporate governance, board matters, and regulatory developments.
  • Support equity and debt financings, M&A, JVs, and strategic initiatives.
  • Provide legal guidance on international operations and subsidiary management.
  • Monitor governance trends, SEC developments, and best practices; coordinate cross-functional teams.
  • Support M&A diligence, documentation, and closing efforts.
  • Partner with senior executives on earnings releases and investor communications.

  • Lead compliance with SEC regulations, NYSE requirements, and public company reporting obligations, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Sarbanes-Oxley compliance.
  • Partner with senior executives on earnings releases, investor communications, disclosure matters, and shareholder proposals.
  • Advise on corporate governance, board matters, public company policies, and regulatory developments.
  • Support equity and debt financings, M&A transactions, joint ventures, and other strategic initiatives.
  • Provide legal guidance on international business operations and subsidiary management.
  • Monitor governance trends, SEC developments, and corporate best practices.
  • Support M&A transactions from initial diligence through closing, including due diligence, transaction documentation, and cross-functional coordination.
Qualifications
  • J.D. from an accredited law school and at least 10 years of relevant legal experience.
  • Minimum 5 years of law firm experience.
  • In-house securities and governance experience at a public company required.
  • Strong background in SEC reporting, corporate governance, and public company compliance.
  • International experience preferred.
  • Experience supporting manufacturing, industrial, energy, or technology companies is a plus.

Compensation: $209,100-$300,900 base salary, plus comprehensive benefits.
