Qualifications

• JD required and active license.
• 10+ years in securities, governance, and corporate law.

• Experience advising on capital markets and strategic transactions.
• Exposure to international business and cross-border matters.
• Ability to deliver practical, business-focused guidance in a fast-paced environment.

Responsibilities

Representing a publicly traded clean energy technology company, we are proud to be leading the search for a Securities & Corporate Governance Counsel. This role will lead public company governance, securities compliance, board support, and strategic corporate transactions in a highly innovative business.

This is a pivotal role offering the opportunity to influence governance practices, support executive leadership, and help shape a growing global organization.

As the Securities & Corporate Governance Counsel, you will be responsible for:

• Managing compliance with SEC regulations, stock exchange requirements, and public company reporting obligations, including periodic filings and proxy materials.
• Advising executive leadership and key stakeholders on disclosure matters, earnings communications, investor relations activities, and corporate communications.
• Supporting corporate governance initiatives, including board and committee processes, meeting materials, resolutions, and minutes.
• Advising on equity and debt financing transactions, acquisitions, divestitures, joint ventures, and other strategic corporate matters.
• Providing guidance on domestic and international legal, regulatory, and governance issues.
• Supporting equity administration programs, insider trading compliance, and Section 16 reporting obligations.
• Assisting with corporate maintenance and governance of domestic and international subsidiaries.
• Monitoring legal and regulatory developments, governance trends, and best practices, and providing practical guidance to internal stakeholders.

To be successful in this role our client is looking for a:

• Juris Doctor degree and active legal qualifications required.
• Attorney with 10+ years of relevant securities, governance, and corporate legal experience.
• Minimum of 5 years’ experience within a leading law firm environment.
• Prior in-house experience supporting a publicly traded company strongly preferred.
• Strong knowledge of SEC regulations, public company reporting, corporate governance, and securities law.
• Experience supporting capital markets transactions, strategic corporate transactions, and board governance activities.
• Exposure to international business operations and cross-border legal matters preferred.
• Proven ability to deliver practical, business-focused legal advice in a complex and fast-paced environment.
• Excellent analytical, communication, stakeholder management, and project leadership skills.
• Experience within manufacturing, industrial, energy, or other highly regulated sectors is advantageous.
